TERMS OF SERVICE

These Terms of Service, together with any policies or notices expressly incorporated into them, govern your access to and use of NorthrynActive.com, including your purchase of products from NORTHRYN ACTIVE LLC, doing business as NorthrynActive or Northryn Active.

Throughout these Terms, “NorthrynActive,” “we,” “us,” and “our” refer to NORTHRYN ACTIVE LLC. “You” and “your” refer to any visitor, customer, account holder, or other person who accesses or uses our website, products, or services.

Our website, online store, products, features, content, customer accounts, and related services are collectively referred to as the “Services.”

Our online store is hosted by Shopify, which provides the e-commerce platform that enables us to offer the Services to you.

By visiting our website, creating an account, placing an order, subscribing to communications, or otherwise using the Services, you agree to these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility and Acceptance

By using the Services, you represent that:

• You have reached the age of majority in your state, province, or country of residence; or

• You are using the Services with the involvement and permission of a parent or legal guardian; and

• You have the legal capacity to enter into a binding agreement.

You may not use the Services for any unlawful, fraudulent, abusive, or unauthorized purpose.

If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.

2. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, business practices, or legal obligations.

The current version will be posted on this page with a revised “Last updated” date. Unless otherwise stated or required by law, changes become effective when posted.

Your continued use of the Services after updated Terms are posted constitutes acceptance of the updated Terms.

3. Online Store Terms

You agree not to:

• Use our products or Services for any unlawful purpose;

• Violate any applicable law or regulation;

• Transmit malware, viruses, malicious code, or harmful technology;

• Attempt to interfere with the operation or security of the Services;

• Collect information about other users without authorization;

• Use automated systems to scrape, copy, monitor, or extract website content without written permission;

• Circumvent security, access, purchasing, or promotional restrictions;

• Make fraudulent purchases or payment disputes;

• Impersonate another person or organization; or

• Use our intellectual property without permission.

A violation of these Terms may result in cancellation of an order, restriction of access, suspension of an account, or termination of your use of the Services.

4. Product Information

We make reasonable efforts to display product descriptions, materials, colors, images, sizes, designs, prices, and availability accurately.

However:

• Colors may appear differently depending on your screen, lighting, and device settings;

• Product measurements may vary slightly because of manufacturing tolerances;

• Placement, scale, stitching, print alignment, and color intensity may vary slightly between products;

• Made-to-order and all-over-print products may have minor differences from digital mockups;

• Product images may include styling, lighting, props, or digital representations; and

• Packaging may change without notice.

These minor variations are not generally considered manufacturing defects.

You are responsible for reviewing the product description, personalization details, and size guide before purchasing.

If you are between sizes, please review the product-specific sizing information or contact customer support before placing your order.

5. Cultural, Team, and Brand References

Our products may contain cultural, regional, geographic, historical, artistic, or fan-inspired references.

Unless a product page expressly states otherwise, references to a country, territory, team, league, athlete, federation, event, organization, landmark, symbol, or cultural identity do not necessarily indicate sponsorship, endorsement, authorization, or official affiliation.

Product names and descriptions may be used to describe the design, theme, audience, or inspiration of the product.

All third-party names, logos, and trademarks remain the property of their respective owners.

6. Orders and Acceptance

Submitting an order is an offer to purchase products subject to these Terms.

An automated order confirmation confirms that we received your order. It does not necessarily mean that the order has been accepted or entered into production.

We reserve the right, where permitted by law, to:

• Accept or reject an order;

• Request additional information;

• Limit quantities;

• Refuse orders placed by resellers or distributors;

• Cancel duplicate or suspicious orders;

• Cancel orders affected by pricing, description, discount, inventory, or technical errors; or

• Cancel an order when materials, production capacity, shipping service, or payment authorization are unavailable.

If we cancel an order after payment has been collected, we will issue a refund for the canceled portion to the original payment method.

7. Order Information

You agree to provide current, complete, and accurate:

• Contact information;

• Billing information;

• Shipping information;

• Payment information; and

• Personalization instructions.

You are responsible for reviewing all order details before submitting your order.

We are not responsible for delays, failed delivery, incorrect personalization, or other issues caused by inaccurate or incomplete information supplied by you.

Contact us immediately if you discover an error. We cannot guarantee that changes can be made after an order has entered processing or production.

8. Made-to-Order Products

Most products are prepared, printed, manufactured, or otherwise processed after an order is placed.

Processing time is separate from shipping time.

Estimated production and processing periods are provided for guidance only and may be affected by:

• Order volume;

• Product type;

• Personalization;

• Material availability;

• Quality-control requirements;

• Holidays;

• Weather;

• Technical issues; or

• Other circumstances outside our reasonable control.

Unless required by applicable law, a delay within a reasonable production or delivery period does not automatically entitle a customer to cancellation or compensation.

9. Personalized and Custom Products

Products containing a customer-selected name, number, text, image, design, or other personalization are considered custom products.

You are responsible for confirming the spelling, capitalization, numbers, sizing, placement instructions, and other personalization details before placing your order.

Custom products:

• Enter production according to the submitted order information;

• May not be changed or canceled after production begins;

• Are final sale unless defective, damaged, incorrectly produced due to our error, or otherwise eligible under applicable law; and

• Are not eligible for return because of incorrect customer-supplied information, incorrect size selection, change of preference, or change of mind.

We may reject personalization that we reasonably believe is unlawful, infringing, threatening, hateful, defamatory, obscene, discriminatory, or otherwise inappropriate.

Submitting personalization does not transfer ownership of our underlying product templates, artwork, graphics, or production files.

10. Customer-Submitted Content

If you submit text, photographs, artwork, logos, images, names, numbers, comments, reviews, or other content, you represent that:

• You own the content or have permission to use it;

• Our use of the content to process your order will not violate the rights of another person;

• The content does not infringe copyright, trademark, privacy, publicity, or other legal rights; and

• The content complies with applicable laws.

You grant us and our production partners a limited, non-exclusive license to use, reproduce, modify, and transmit submitted content only as reasonably necessary to process, manufacture, fulfill, support, or resolve issues relating to your order.

You are responsible for claims resulting from content you submit without appropriate authorization.

11. Prices, Taxes, and Charges

Unless otherwise stated, prices are displayed in U.S. dollars.

Prices may change without notice. A price change does not affect an order that has already been accepted, except where correction is permitted for an obvious error.

You are responsible for applicable:

• Sales tax;

• Use tax;

• Value-added tax;

• Customs duties;

• Import charges;

• Brokerage fees; and

• Other government or carrier-imposed charges.

Taxes and shipping charges may be calculated at checkout.

For international orders, import duties and taxes may be collected at checkout or charged by local customs authorities or the delivery carrier. Unless we expressly state otherwise, these charges are the customer’s responsibility.

12. Discounts and Promotions

Discounts, promotional codes, bundle offers, free-shipping offers, VIP offers, limited drops, and other promotions may be subject to separate conditions.

Unless expressly stated:

• Promotions cannot be combined;

• Promotions have no cash value;

• Promotions cannot be applied retroactively;

• Promotions may exclude specific products, destinations, or orders;

• Automatic discounts may replace other discounts;

• Free shipping may apply only after the applicable order subtotal is reached;

• Returned items may reduce or eliminate a discount;

• Promotional pricing may end without notice; and

• We may cancel or correct a promotion affected by fraud, misuse, or technical error.

If a return causes the remaining order to fall below a promotional threshold, the refund may be adjusted to reflect the correct price of the items retained, where permitted by law.

13. Payment

You agree to provide valid and authorized payment information.

Payments may be processed by Shopify and third-party payment providers. Your use of a payment method may also be subject to the provider’s separate terms.

We may perform or request payment verification, identity verification, address verification, or fraud screening before accepting or fulfilling an order.

You authorize us and our payment providers to charge the total amount shown at checkout, including applicable product charges, shipping charges, taxes, and other disclosed fees.

We do not generally receive or store complete payment-card information.

14. Fraud and Chargebacks

You agree to contact us and give us a reasonable opportunity to investigate and resolve an order issue before initiating a chargeback or payment dispute.

We may provide order records, tracking information, customer communications, delivery confirmation, personalization information, and other relevant evidence to payment providers or financial institutions in response to a dispute.

Fraudulent chargebacks, false claims, unauthorized use of payment methods, and intentional misuse of refund procedures may result in account restrictions, canceled orders, or legal action.

Nothing in this section limits any non-waivable rights you have under applicable law or your payment provider’s rules.

15. Processing and Shipping

Processing time begins after payment is authorized and any required order information has been received.

Estimated processing time for applicable all-over-print and made-to-order products is generally 3–5 business days, unless a different period is stated on the product page.

Shipping time begins only after processing is complete and the package has been transferred to the carrier.

Estimated shipping periods may vary by destination and service:

• United States economy shipping: approximately 6–9 business days;

• United States standard shipping: approximately 4–7 business days;

• Puerto Rico economy shipping: approximately 6–10 business days;

• Puerto Rico standard shipping: approximately 4–8 business days; and

• International standard shipping: approximately 8–15 business days.

Business days generally mean Monday through Friday, excluding holidays.

These periods are estimates, not guaranteed delivery dates. Processing and delivery may be affected by weather, holidays, peak volume, customs, carrier delays, address issues, or other events outside our reasonable control.

16. Shipping Address

You are responsible for providing a complete and accurate shipping address.

We are not responsible for delays, failed delivery, returned packages, or loss caused by:

• Incorrect or incomplete addresses;

• Missing apartment, suite, unit, or postal information;

• Refusal of delivery;

• Failure to collect a package;

• Relocation without forwarding information; or

• Address changes requested after processing begins.

Contact us immediately if an address is incorrect. We cannot guarantee that it can be changed after an order has entered processing or been shipped.

Additional shipping charges may apply if a package must be reshipped because of customer-provided address information or failure to accept delivery.

17. Tracking and Delivery

When available, tracking information will be sent to the email address associated with the order.

Tracking updates are provided by the carrier and may not appear immediately.

An order may be considered delivered when the carrier’s tracking system confirms delivery to the shipping address, mailbox, parcel locker, reception desk, authorized pickup location, or another location permitted by the carrier.

If tracking shows “Delivered” but you cannot locate the package, you should promptly:

• Check the mailbox, porch, entrance, reception area, or safe location;

• Ask household members or neighbors;

• Check with the local carrier; and

• Contact us with your order number and tracking information.

We will provide reasonable assistance, but replacement or refund eligibility may depend on the circumstances, carrier investigation, shipping protection, and applicable law.

18. Risk of Loss

Risk of loss and title to purchased products transfer as determined by applicable law and the shipping terms presented at checkout.

Nothing in these Terms removes rights or remedies that cannot legally be waived, including applicable consumer rights concerning goods lost or damaged before delivery.

19. Returns, Exchanges, and Refunds

Our Return & Refund Policy forms part of these Terms.

Unless a different legally required period applies:

Non-custom products

Non-custom products may be eligible for return or exchange within 7 days after confirmed delivery, provided that the products are:

• Unused;

• Unwashed;

• Unworn except for reasonable fitting;

• In their original condition;

• Accompanied by original tags, packaging, bags, and accessories; and

• Otherwise eligible under our Return & Refund Policy.

A $7.99 restocking fee may apply to personal-reason returns where permitted by law.

Custom products

Custom and personalized products are final sale, except where:

• The product is defective;

• The product arrived damaged;

• We produced the personalization incorrectly;

• We sent the wrong product; or

• Applicable law requires another remedy.

Damaged, defective, incorrect, or incomplete orders

You should contact us within 72 hours after delivery and provide:

• The order number;

• A description of the problem;

• Clear photographs or video;

• Images of the shipping label and packaging, where relevant; and

• Any additional information reasonably requested to investigate the claim.

Failure to report an issue promptly may affect our ability to investigate it, but does not waive rights that cannot legally be waived.

Return authorization

Do not return a product without contacting us and receiving return instructions.

Products sent to an unauthorized address may not be accepted or processed.

Refunds

Approved refunds are generally issued to the original payment method after the returned product has been received and inspected.

Refund processing normally takes approximately 3–7 business days after approval, although your bank or payment provider may require additional time.

Original shipping charges are generally non-refundable unless the return results from our error or applicable law requires reimbursement.

Final-sale items are not eligible for return or refund except where required by law.

20. Cancellations

Because many products are made to order, cancellation requests must be submitted as soon as possible.

An order may not be canceled after:

• Production has begun;

• Personalization has been applied;

• The order has been packed;

• A shipping label has been created; or

• The order has been transferred to a carrier.

Submitting a cancellation request does not guarantee cancellation.

If a cancellation is approved, the refund will be issued to the original payment method, less any non-refundable costs where permitted by law and disclosed to you.

21. Account Registration

You may be permitted to create a customer account.

You are responsible for:

• Providing accurate information;

• Maintaining the confidentiality of login credentials;

• Restricting access to your account and device; and

• All activity occurring through your account.

Notify us immediately if you suspect unauthorized access.

We may suspend or terminate an account where reasonably necessary to protect customers, prevent fraud, enforce these Terms, or maintain the security of the Services.

22. Marketing Communications

If you subscribe to our VIP list or marketing communications, you agree to receive promotional emails and other communications consistent with your selections and applicable law.

You may unsubscribe from marketing emails at any time by using the unsubscribe link included in the message.

Unsubscribing from marketing does not prevent us from sending transactional or service-related messages concerning orders, accounts, security, returns, or customer-support requests.

23. Reviews, Feedback, and Submissions

If you submit a review, comment, suggestion, photograph, testimonial, feedback, or other non-confidential material, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, publish, display, adapt, translate, and distribute that material for business and promotional purposes, subject to applicable law and our Privacy Policy.

You represent that your submission:

• Is truthful and based on your genuine experience;

• Does not violate another person’s rights;

• Does not contain unlawful, defamatory, misleading, abusive, or obscene material;

• Does not contain malware or harmful code; and

• Does not include confidential personal information belonging to another person.

We may moderate or remove submissions, but we are not obligated to do so.

We will not compensate you for unsolicited ideas or feedback unless agreed in writing.

24. Intellectual Property

The Services and their contents, including product designs, artwork, graphics, photographs, videos, text, logos, icons, page layouts, website code, and branding, are owned by or licensed to NORTHRYN ACTIVE LLC and are protected by intellectual-property laws.

You may access and use the Services only for personal, non-commercial shopping purposes.

You may not, without prior written permission:

• Copy, reproduce, modify, distribute, or sell our content;

• Use our product images or designs to produce competing products;

• Remove copyright, trademark, or proprietary notices;

• Create derivative works from our designs;

• Frame or mirror any part of the website;

• Use our trademarks, branding, or trade dress;

• Resell digital images, mockups, or production files; or

• Use our content to train, develop, or improve an artificial-intelligence system.

No license or ownership right is transferred to you except the limited right to use the Services in accordance with these Terms.

25. Intellectual-Property Complaints

We respect the intellectual-property rights of others.

If you believe content on the Services infringes your copyright, trademark, or other rights, contact us at cs@northrynactive.com and provide:

• Identification of the protected work or right;

• Identification and location of the allegedly infringing content;

• Your contact information;

• A statement explaining your good-faith belief;

• A statement that the information supplied is accurate; and

• Your physical or electronic signature.

We may remove or restrict access to disputed content while reviewing a complaint.

Knowingly submitting a false or misleading complaint may result in liability.

26. Third-Party Services and Links

The Services may contain tools, integrations, payment options, social-media features, or links operated by third parties.

We do not control and are not responsible for third-party:

• Websites;

• Content;

• Products;

• Services;

• Terms;

• Privacy practices;

• Security; or

• Availability.

Your use of a third-party service is governed by that provider’s terms and policies.

You should review applicable third-party terms before completing a transaction or providing personal information.

27. Optional Tools

We may provide access to tools or services supplied by third parties over which we have no control.

Unless required by law, optional tools are provided “as is” and “as available,” without warranties, representations, or endorsements.

Your use of an optional tool is at your discretion and is subject to the third party’s applicable terms.

28. Errors, Inaccuracies, and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to:

• Product descriptions;

• Prices;

• Promotions;

• Offers;

• Shipping charges;

• Delivery estimates;

• Availability; or

• Other information.

Where permitted by law, we may correct errors, update information, or cancel affected orders.

If an order is canceled after payment because of an error, we will refund the affected amount to the original payment method.

29. Service Availability

We do not guarantee that the Services will always be uninterrupted, secure, or error-free.

We may modify, suspend, withdraw, restrict, or discontinue any portion of the Services without notice where reasonably necessary.

We are not responsible for interruptions caused by maintenance, hosting providers, internet failures, cyber incidents, third parties, force-majeure events, or other circumstances outside our reasonable control.

30. Prohibited Uses

In addition to other restrictions in these Terms, you may not use the Services:

• For unlawful or fraudulent activity;

• To violate intellectual-property or privacy rights;

• To harass, threaten, discriminate against, or harm others;

• To submit false or misleading information;

• To transmit viruses, malware, or malicious code;

• To collect or track another person’s information without authorization;

• To send spam, phishing messages, or deceptive communications;

• To interfere with security features;

• To conduct unauthorized scraping or data mining;

• To manipulate reviews, promotions, checkout systems, or pricing;

• To purchase products using stolen payment information;

• To impersonate another individual or organization; or

• To evade account, purchase, or geographic restrictions.

We may terminate access for violations of this section.

31. Privacy

Our collection, use, and disclosure of personal information are governed by our Privacy Policy.

By using the Services, you acknowledge that information may be processed by Shopify, payment providers, fulfillment partners, shipping carriers, marketing providers, and other service providers as described in the Privacy Policy.

32. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.

Except for warranties expressly provided in writing or warranties that cannot legally be excluded, we disclaim all express, implied, and statutory warranties, including warranties of:

• Merchantability;

• Fitness for a particular purpose;

• Title;

• Non-infringement;

• Accuracy;

• Availability; and

• Error-free operation.

We do not warrant that:

• The Services will always be available, uninterrupted, secure, or error-free;

• Product colors will appear identically on every device;

• Estimated processing or delivery periods will always be met; or

• All website information will always be free from errors.

Nothing in these Terms excludes any warranty or consumer protection that cannot legally be excluded.

Any guarantee, warranty, or protection program advertised separately on the website applies only according to its published eligibility requirements, exclusions, claim procedure, and duration.

33. Limitation of Liability

To the fullest extent permitted by applicable law, NORTHRYN ACTIVE LLC and its owners, officers, employees, affiliates, agents, contractors, suppliers, fulfillment partners, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or opportunity, arising from or relating to:

• Your use of or inability to use the Services;

• Products purchased through the Services;

• Delayed or failed delivery;

• Unauthorized account access;

• Third-party services;

• Website errors or interruptions; or

• Content or conduct of another person.

Where liability cannot be excluded, our aggregate liability relating to a claim will not exceed the amount you paid for the product or order giving rise to the claim, unless a greater amount is required by law.

Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, these limitations apply only to the extent legally permitted.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, willful misconduct, or personal injury caused by negligence where applicable.

34. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless NORTHRYN ACTIVE LLC and its affiliates, owners, officers, employees, agents, contractors, licensors, service providers, and suppliers from claims, losses, liabilities, damages, judgments, and reasonable legal fees arising from:

• Your material violation of these Terms;

• Your unlawful misuse of the Services;

• Content or personalization you submit;

• Your infringement of another person’s rights; or

• Fraudulent or intentionally wrongful conduct.

This section does not require a consumer to indemnify us for our own negligence, misconduct, or violation of law.

35. Force Majeure

We are not responsible for delay or failure caused by events outside our reasonable control, including:

• Natural disasters;

• Severe weather;

• Fire;

• Flood;

• Epidemics or public-health emergencies;

• War, terrorism, or civil unrest;

• Government restrictions;

• Labor disruptions;

• Customs delays;

• Carrier disruption;

• Supply-chain interruption;

• Power or internet failure;

• Cyber incidents; or

• Failure of third-party providers.

We will make reasonable efforts to resume affected operations.

36. Termination

These Terms remain effective until terminated by you or us.

You may stop using the Services at any time.

We may suspend or terminate access if we reasonably believe that you:

• Violated these Terms;

• Engaged in fraud or abuse;

• Created a security or legal risk;

• Failed to pay amounts owed; or

• Misused our products, systems, or intellectual property.

Obligations and liabilities incurred before termination survive termination.

Provisions concerning intellectual property, payments, disclaimers, liability, indemnification, disputes, and other provisions that by their nature should survive will remain effective.

37. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or severed from the Terms.

The remaining provisions will continue in full force and effect.

38. No Waiver

Our failure to enforce a provision of these Terms is not a waiver of that provision or any other right.

A waiver is effective only if made in writing by an authorized representative of NORTHRYN ACTIVE LLC.

39. Assignment

You may not assign or transfer your rights or obligations under these Terms without our written permission.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, financing, or transfer of the business, subject to applicable law.

40. Entire Agreement

These Terms, together with the Privacy Policy, Return & Refund Policy, Processing & Shipping Policy, and other policies expressly incorporated by reference, constitute the entire agreement between you and us concerning the Services.

If a product page or promotion contains additional specific terms, those terms will apply to that product or promotion. If there is a conflict, the more specific terms generally control, subject to applicable law.

41. Governing Law

These Terms and disputes relating to the Services are governed by the laws of the State of Colorado and applicable federal laws of the United States, without regard to conflict-of-law principles.

This choice of law does not deprive a consumer of mandatory protections provided by the laws of the consumer’s place of residence.

Where legally permitted, legal proceedings that are not resolved informally may be brought in the state or federal courts having jurisdiction in or near Boulder County, Colorado.

42. Informal Dispute Resolution

Before filing a legal claim, you and NORTHRYN ACTIVE LLC agree to make a good-faith attempt to resolve the dispute informally.

Send a written description of the dispute, the relevant order number, the requested resolution, and your contact information to cs@northrynactive.com.

We will attempt to review and respond within a reasonable period.

This section does not prevent either party from seeking emergency relief, filing a claim in small-claims court, exercising non-waivable consumer rights, or contacting a government or consumer-protection authority.

43. Electronic Communications

When you use the Services, place an order, create an account, or contact us electronically, you consent to receive communications electronically.

Electronic notices, disclosures, order confirmations, and other communications satisfy legal requirements that such communications be in writing, to the extent permitted by law.
